These Terms of Service govern your use of Univlane's AI-powered student engagement platform. By accessing or using our services, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing, browsing, or using Univlane's website, platform, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use our Services.

2. Definitions

For the purposes of these Terms:

  • "Univlane," "we," "us," or "our" refers to Univlane and its affiliates
  • "Customer," "you," or "your" refers to the individual or entity using our Services
  • "Platform" refers to the Univlane AI-powered student engagement platform
  • "AI Agent" refers to the artificial intelligence-powered conversational agents deployed through our Platform
  • "End User" or "Student" refers to prospective students or other individuals who interact with your AI Agent
  • "Content" refers to all text, data, information, and materials uploaded to or generated through the Platform
  • "Knowledge Base" refers to the institutional information, FAQs, and documents you provide to train your AI Agent
  • "Subscription" refers to your paid plan for accessing our Services

3. Eligibility

To use our Services, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal authority to enter into these Terms
  • Be acting on behalf of a legitimate educational institution, consultancy, or related organization
  • Provide accurate and complete registration information

We reserve the right to refuse service to anyone for any reason at any time.

4. Account Registration and Security

When creating an account:

  • You must provide accurate, current, and complete information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must immediately notify us of any unauthorized use of your account
  • You are responsible for all activities that occur under your account
  • We reserve the right to suspend or terminate accounts that violate these Terms

Multi-user accounts: If your subscription allows multiple users, the account administrator is responsible for managing user access and ensuring all users comply with these Terms.

5. Use of Services

Permitted Uses

  • Deploying AI agents for legitimate student engagement and recruitment purposes
  • Managing and responding to student inquiries
  • Collecting and processing lead information in accordance with applicable laws
  • Integrating with authorized third-party tools and platforms

Prohibited Uses

You agree not to:

  • Use the Services for any unlawful purpose
  • Upload false, misleading, or deceptive content to train AI agents
  • Attempt to reverse engineer, decompile, or disassemble any part of the Platform
  • Use the Services to send unsolicited communications (spam)
  • Share your account credentials with unauthorized parties
  • Attempt to circumvent any security measures or access controls
  • Use the Services to discriminate against students based on protected characteristics
  • Scrape, harvest, or collect information from the Platform without authorization
  • Interfere with or disrupt the Services or servers connected to the Services

6. Subscriptions and Payment

Free Trial

We may offer a free trial period. At the end of the trial, your account will be converted to a paid subscription unless you cancel.

Paid Subscriptions

  • Subscriptions are billed monthly or annually as selected at the time of purchase
  • All fees are exclusive of applicable taxes
  • We reserve the right to change pricing with 30 days' advance notice

Refunds and Cancellations

  • You may cancel your subscription at any time
  • Annual subscriptions may be eligible for a pro-rated refund within the first 30 days
  • Monthly subscriptions are non-refundable for the current billing period
  • Upon cancellation, you will retain access until the end of your current billing period

7. Customer Responsibilities

As a customer, you are responsible for:

  • Ensuring that your AI agent's knowledge base contains accurate and up-to-date information
  • Reviewing AI agent conversations periodically for quality and accuracy
  • Responding to human handoff requests in a timely manner
  • Complying with all applicable laws and regulations, including data protection laws, when collecting student information
  • Obtaining necessary consents from end users for data collection and processing
  • Ensuring that your use of the Services complies with your institution's policies

8. Intellectual Property

Univlane's IP

All rights, title, and interest in the Platform, including software, algorithms, designs, and documentation, remain the exclusive property of Univlane. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the Services as described herein.

Your Content

You retain ownership of all content you upload to the Platform, including knowledge base materials and institutional information. By uploading content, you grant Univlane a non-exclusive, worldwide license to use, process, and store this content solely for the purpose of providing the Services.

AI-Generated Content

Content generated by AI agents in conversations with students is jointly owned. You may use this content for your business purposes, and Univlane may use anonymized and aggregated data to improve our Services.

9. AI Agents and Content Disclaimer

Important Limitations

  • AI agents are tools designed to assist with student engagement, not to replace professional advice
  • AI-generated responses may occasionally contain inaccuracies or errors
  • Univlane does not guarantee the accuracy, completeness, or reliability of AI-generated content
  • You are responsible for reviewing and validating the information your AI agent provides
  • AI agents should not be relied upon for legally binding commitments such as scholarship guarantees or admission decisions

Continuous Improvement

We continuously work to improve the accuracy and reliability of our AI agents. You can help by providing feedback and regularly updating your knowledge base.

10. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Key data commitments:

  • We process data in accordance with applicable data protection laws
  • Student data collected through AI agents is treated as confidential
  • We implement industry-standard security measures to protect your data
  • You maintain ownership of your student data at all times
  • Upon termination, you may request export of your data

11. Service Levels and Uptime

We strive to maintain high availability of our Services:

  • Target uptime: 99.9% (measured monthly, excluding scheduled maintenance)
  • Scheduled maintenance windows will be communicated at least 48 hours in advance
  • In the event of unplanned downtime, we will communicate status updates through our status page

Service Credits

Enterprise customers may be eligible for service credits in accordance with their Service Level Agreement (SLA). Contact sales for details.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Univlane shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability for any claims arising from or related to these Terms shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for any loss of data, revenue, or business opportunities arising from the use of our Services
  • We are not responsible for decisions made based on AI-generated content

These limitations apply regardless of the theory of liability, whether based in contract, tort, negligence, strict liability, or otherwise.

13. Indemnification

You agree to indemnify, defend, and hold harmless Univlane, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you upload to the Platform
  • Your failure to comply with applicable laws and regulations

14. Termination

Termination by You

You may terminate your account at any time by contacting us or through your account settings.

Termination by Univlane

We may suspend or terminate your account if:

  • You breach these Terms
  • Your payment is overdue for more than 30 days
  • We reasonably believe your use poses a security risk
  • Required by law

Effect of Termination

  • Your right to access the Services will cease immediately
  • We will retain your data for 30 days after termination for export purposes
  • After 30 days, your data will be deleted in accordance with our data retention policy
  • Sections of these Terms that should survive termination will remain in effect

15. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

  • We will provide at least 30 days' advance notice
  • Notice will be sent via email and/or posted on our website
  • Continued use of the Services after the effective date constitutes acceptance
  • If you disagree with the changes, you may terminate your account before the effective date

16. Modifications to Services

We continuously improve our Services and may:

  • Add new features or functionality
  • Modify existing features
  • Temporarily or permanently discontinue certain features
  • Change system requirements

We will provide reasonable notice of material changes that may affect your use of the Services.

17. Dispute Resolution

Negotiation

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

Arbitration

If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Hyderabad, India.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws provisions.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

18. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Univlane
  • Severability: If any provision is found to be unenforceable, the remaining provisions shall continue in full force
  • Waiver: Our failure to enforce any provision shall not constitute a waiver of that provision
  • Assignment: You may not assign these Terms without our prior written consent
  • Force Majeure: Neither party shall be liable for failures due to circumstances beyond reasonable control
  • Notices: We may send notices via email, platform notifications, or posting on our website

20. Specific Provisions for Educational Institutions

If you are an educational institution:

  • FERPA Compliance: We will comply with the Family Educational Rights and Privacy Act where applicable and will execute a FERPA-compliant data sharing agreement upon request
  • Student Records: We acknowledge that certain data may constitute education records and will be treated accordingly
  • Institutional Review: We support institutional review processes and will provide necessary documentation for compliance assessments
  • Accessibility: We are committed to making our Platform accessible in accordance with Section 508 and WCAG 2.1 guidelines
